Purpose of the role
Seeking a highly qualified Group Legal Counsel to lead the legal team. The ideal candidate will have a strong background in commercial law, particularly within the financial services sector, and will be responsible for providing legal guidance to the entire group. This role requires superior drafting and negotiation skills, as well as an in-depth understanding of regulatory frameworks affecting the insurance industry.
Responsibilities
- Provide comprehensive legal support and advice to the organisation on all legal matters, ensuring compliance with relevant laws and regulations.
- Draft, review, and negotiate a wide range of commercial agreements, including but not limited to: outsource agreements, binder agreements, service level agreements, intermediary agreements, shareholder agreements, loan agreements etc.
- Advise on and ensure compliance with financial services regulations, including the Insurance Act, Long- and Short Term Insurance Acts, FAIS Act, Companies Act, and POPIA.
- Assist with mergers and acquisitions, providing legal insights and support throughout the process.
- Provide legal advice and guidance to the group on civil litigation matters as required.
- Collaborate with internal stakeholders to mitigate legal risks and foster a compliant corporate environment.
- Stay abreast of changes in legislation impacting the insurance and financial services sectors
Qualifications and Experience
- Admitted attorney or advocate in South Africa.
- Minimum of 10 to 12 years’ post-article commercial legal experience, preferably in the financial services sector.
- Extensive experience in drafting and reviewing commercial agreements.
- Strong knowledge of financial services legislation relevant to the industry.
- Basic understanding of mergers and acquisitions and civil litigation processes.
- Excellent negotiation, communication, and analytical skills.
- Ability to work independently and as part of a team in a dynamic environment
